ADDENDUM TO INVESTMENT ADVISORY CONTRACT

Negotiated Fee Arrangement

This Addendum to the Investment Advisory Contract (this "Addendum") is entered into as of by and between:

Simpli-FI Alpha LLC ("Adviser" or "SAL"), and

("Client")

WHEREAS, Adviser and Client have entered into an Investment Advisory Contract dated (the "Agreement"); and

WHEREAS, Section 2.5 of the Agreement provides that fees are negotiable at Adviser's discretion and that any negotiated fee arrangement must be documented in a written addendum; and

WHEREAS, the parties wish to establish a negotiated fee arrangement different from the standard fee schedules set forth in Section 2.1 of the Agreement;

NOW, THEREFORE, in consideration of the mutual covenants herein, the parties agree as follows:

1. NEGOTIATED FEE STRUCTURE

Notwithstanding Section 2.1 of the Agreement, Client agrees to pay Adviser advisory fees as follows (select one):

Option A — Custom AUM-Based Fee

Annual fee of % of assets under management, billed quarterly in arrears.

Option B — Custom Performance-Based Fee Qualified Clients Only

Annual management fee of % of assets under management, plus a performance fee of % of net profits, subject to a perpetual high-water mark.

Option C — Other (describe below)

2. RATIONALE FOR NEGOTIATED FEE

The negotiated fee arrangement above has been agreed upon for the following reason(s):

Household aggregation / multiple accounts Large account size (AUM exceeds $ ) Long-standing client relationship Referral from existing client Simplified investment strategy / reduced complexity Other:

4. EFFECTIVE DATE AND TERM

This Addendum shall be effective as of and shall remain in effect for the duration of the Agreement unless modified by a subsequent written addendum signed by both parties or until the Agreement is terminated.

5. NO OTHER MODIFICATIONS

Except as specifically modified by this Addendum, all terms and conditions of the Agreement shall remain in full force and effect. In the event of any conflict between this Addendum and the Agreement, this Addendum shall control with respect to fee arrangements only.

6. DISCLOSURE

Client acknowledges that the negotiated fee set forth herein may be higher or lower than fees charged to other clients for similar services, based on individual circumstances. Adviser has disclosed that fees are negotiable and that similar services may be obtained from other advisers at different fee levels.
